Terms.

These Terms of Service ("Terms") govern your access to and use of Grocery Routes, including the Grocery Routes mobile application, website, subscription features, grocery comparison tools, price comparison features, list tools, account features, notifications, Founder subscription, digital badges, and any related products, services, content, data, or functionality made available by Ryan Falcone d/b/a Grocery Routes ("Grocery Routes," "Company," "we," "us," or "our").

By downloading, accessing, purchasing, subscribing to, or using Grocery Routes, you agree to be bound by these Terms, our Privacy Policy, and any additional terms presented to you in the app, on the App Store, or during a subscription purchase. If you do not agree, do not use Grocery Routes.

If you access Grocery Routes through the Apple App Store, your use of the app is also subject to Apple's applicable App Store terms, Apple's Licensed Application End User License Agreement, Apple's in-app purchase rules, and Apple's subscription rules. To the extent Apple controls billing, refunds, subscription cancellation, app licensing, or payment processing, Apple's terms and policies may control.

1. Overview of Grocery Routes

Grocery Routes is a grocery shopping assistance and price comparison service designed to help users compare available grocery prices, store options, item assignments, savings estimates, shopping lists, subscription features, and related shopping information.

Grocery Routes may allow users to compare estimated prices across multiple stores, select stores, choose a shopping radius, view estimated savings, build grocery lists, receive shopping suggestions, request store coverage, access subscription-only features, and use related tools.

Grocery Routes does not sell groceries, process physical grocery orders, own or operate grocery stores, guarantee store inventory, guarantee checkout prices, or act as an agent of any grocery retailer unless expressly stated in writing.

All pricing, savings, availability, store, product, promotion, route, distance, location, nutrition, recipe, and shopping information provided through Grocery Routes is for informational and convenience purposes only. Actual prices, item availability, coupons, taxes, deposits, bag fees, service fees, loyalty discounts, substitutions, store policies, and checkout totals may differ.

2. Eligibility

You must be at least 13 years old to use Grocery Routes. If you are under the age of majority in your jurisdiction, you may use Grocery Routes only with the consent and supervision of a parent or legal guardian.

By using Grocery Routes, you represent that you meet these requirements and that you have authority to agree to these Terms.

You may not use Grocery Routes if you are prohibited from using the app or services under applicable law.

3. Account Registration and Account Security

Certain features may require you to create an account, sign in with Apple, provide an email address, use an anonymous app profile, or otherwise authenticate your identity.

You agree to provide accurate, current, and complete information where required and to keep it updated.

You are responsible for maintaining the confidentiality of your account, device, credentials, and any activity that occurs through your account or device. You agree to notify us promptly if you believe your account or app profile has been accessed without authorization.

We are not responsible for losses caused by unauthorized use of your account or device unless required by law.

4. App License

Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use Grocery Routes for your personal, non-commercial use on devices that you own or control, solely as permitted by these Terms and the applicable app marketplace rules.

You may not copy, modify, distribute, sell, lease, rent, sublicense, reverse engineer, decompile, disassemble, attempt to derive the source code of, or create derivative works from Grocery Routes except to the extent such restriction is prohibited by applicable law.

All rights not expressly granted to you are reserved by us and our licensors.

5. Subscriptions and Paid Features

Grocery Routes may offer paid subscriptions, premium features, Founder access, digital badges, early access features, promotional features, AI-powered features, scanning features, higher usage limits, or other paid services ("Paid Features").

The current paid subscription is the Grocery Routes Founder Tier, available for $4.99 per month unless a different price is shown in the App Store purchase flow. The Founder Tier is an auto-renewing monthly subscription. No free trial is included unless a free trial is expressly shown in the App Store purchase flow before purchase.

The specific features included in the Founder Tier or any future subscription plan will be described in the app, on the subscription screen, or in the applicable purchase flow. Features, plan names, limits, pricing, and availability may change over time, subject to applicable law and app marketplace rules.

Founder, supporter, badge, or early-access benefits are promotional digital benefits. They do not provide ownership, equity, revenue share, voting rights, investment rights, guaranteed lifetime service, guaranteed future features, or any legal interest in Grocery Routes.

6. Auto-Renewing Subscriptions

If you purchase an auto-renewing subscription, your subscription will automatically renew at the end of each billing period unless you cancel before renewal in accordance with the cancellation process provided by Apple or the applicable app marketplace.

Your subscription period, price, renewal frequency, included features, and any trial terms will be shown before you confirm your purchase.

By confirming the purchase, you authorize the applicable app marketplace or payment provider to charge your selected payment method on a recurring basis until you cancel.

Deleting the app does not cancel your subscription. Uninstalling Grocery Routes, deleting local app data, disabling notifications, deleting your account, or stopping use of the app does not automatically stop subscription billing. You must cancel the subscription through the same app marketplace, Apple ID, account settings, payment provider, or cancellation method used to subscribe.

7. App Store Billing

If you purchase a subscription through Apple's in-app purchase system, payment will be charged to your Apple Account at confirmation of purchase. Apple handles payment processing, renewal, cancellation, billing support, and refund decisions for Apple in-app purchases.

To manage or cancel an Apple subscription, open the Settings app on your device, tap your name, tap Subscriptions, select Grocery Routes, and follow Apple's cancellation instructions. You may also manage subscriptions through your Apple Account settings where available.

If your purchase is billed through Apple, we generally cannot cancel, refund, modify, or directly manage your Apple subscription for you. Refund requests for Apple purchases must be submitted to Apple unless Apple directs otherwise.

8. Free Trials and Promotional Offers

Grocery Routes Founder Tier does not include a free trial unless a free trial is expressly shown before purchase.

We may offer free trials, discounted periods, promotional subscriptions, limited-time offers, founder pricing, coupons, badges, or other promotional access. The terms of any trial or promotional offer will be disclosed before you accept the offer.

Unless otherwise stated in the offer, when a free trial or promotional period ends, the subscription will convert to a paid auto-renewing subscription at the disclosed price unless you cancel before the end of the trial or promotional period.

Only one free trial or promotion may be available per user, Apple Account, device, household, payment method, or app profile, unless we choose otherwise. We may modify or revoke promotions if we determine they are being misused, abused, duplicated, or obtained through fraudulent means.

9. Price Changes and Plan Changes

Subscription prices may change from time to time. If the price of your existing subscription changes, notice and consent will be provided as required by applicable law and the applicable app marketplace rules. If you do not agree to a required price change, your subscription may expire at the end of the then-current billing period.

If you upgrade, downgrade, crossgrade, switch plans, redeem an offer, or change subscription duration, the timing, billing, access, and renewal effects will be handled by the applicable app marketplace or payment provider.

10. Cancellation

You may cancel your subscription at any time through the applicable app marketplace or account settings. Cancellation stops future renewals but does not necessarily provide a refund for the current billing period.

After cancellation, you may continue to access paid features until the end of the period for which you have already paid, unless Apple, the app marketplace, or applicable law provides otherwise.

If you subscribed outside of Apple's in-app purchase system, cancellation instructions will be provided in the app, in your account settings, in your subscription confirmation, or through the relevant billing provider.

11. Refunds

Except where required by law or expressly stated otherwise, payments are non-refundable and we do not provide refunds or credits for partially used subscription periods, unused features, accidental purchases, failure to cancel, user error, changed preferences, or temporary app interruptions.

For purchases made through Apple, refund requests are handled by Apple and are subject to Apple's refund policies. We do not control Apple's refund decisions.

12. Subscription Acknowledgment

Before subscribing, you should review the subscription title, included features, renewal period, price, billing frequency, trial terms if any, cancellation instructions, and renewal terms shown in the app or applicable purchase flow.

By subscribing, you acknowledge and agree that:

  1. the subscription renews automatically unless canceled;
  2. the renewal period and price are shown before purchase;
  3. your payment method will be charged unless you cancel in time;
  4. deleting the app does not cancel the subscription;
  5. cancellation must be completed through the applicable app marketplace or billing provider;
  6. access to subscription features may end when your subscription expires, is canceled, is refunded, is revoked, or cannot be verified;
  7. we may verify your subscription status through receipt validation, app marketplace APIs, RevenueCat, or similar systems.

13. Feature Access, Entitlements, and Limits

Subscription access may depend on successful payment, active entitlement status, device connectivity, app marketplace verification, account status, server availability, and fraud prevention checks.

We may impose reasonable usage limits, rate limits, fair-use limits, scanning limits, AI request limits, list limits, device limits, or account limits to protect the service, control costs, prevent abuse, and maintain service quality.

"Unlimited" features, if offered, mean unlimited for ordinary personal use subject to fair-use limits, technical limits, abuse prevention, service availability, and these Terms. Unlimited access does not permit automated scraping, resale, commercial use, abusive usage, excessive server load, fraudulent activity, or use that harms the service or other users.

14. Grocery Price and Savings Information

Grocery Routes may display prices, estimated prices, historical prices, regional prices, store-specific prices, promotional prices, loyalty-card prices, coupon-adjusted prices, multi-store savings estimates, single-store comparisons, shopping totals, and related calculations.

You understand and agree that:

  1. prices may change without notice;
  2. stores may have different prices by location, region, loyalty account, fulfillment method, time, inventory, promotion, or checkout channel;
  3. prices shown in Grocery Routes may not match shelf prices, online prices, delivery prices, pickup prices, receipt prices, or checkout totals;
  4. item availability is not guaranteed;
  5. substitutions, taxes, deposits, bag fees, service fees, delivery fees, pickup fees, tips, and retailer fees may not be included unless expressly stated;
  6. savings estimates are estimates only and are not guaranteed;
  7. Grocery Routes is not responsible for pricing errors, out-of-stock items, retailer changes, incorrect third-party data, expired promotions, unavailable stores, or checkout differences.

You are responsible for verifying final prices, ingredients, quantities, labels, coupons, taxes, and item availability before purchasing.

15. Store Coverage and Location-Based Features

Grocery Routes may support certain stores, regions, zip codes, price zones, or geographic areas. Coverage may change over time and may not be available in every city, county, state, store, or region.

If you use location-based features, you authorize Grocery Routes to use location, zip code, selected stores, radius, or similar information to provide relevant comparisons. You may disable device location permissions, but some features may be limited or unavailable.

Store distance, travel time, radius, routing, and location information may be estimated and may not reflect traffic, road closures, store hours, parking, accessibility, or actual route conditions.

16. Third-Party Retailers and Services

Grocery Routes may reference, display, link to, compare, or interact with third-party grocery stores, retailers, brands, data providers, websites, APIs, maps, payment processors, analytics providers, app marketplaces, RevenueCat, or other third-party services.

We do not control and are not responsible for third-party stores, third-party websites, third-party data, third-party policies, third-party prices, third-party inventory, third-party purchases, retailer checkout experiences, retailer substitutions, retailer loyalty programs, retailer coupons, or retailer customer service.

Reference to any retailer, product, brand, logo, trademark, price, coupon, or store does not imply endorsement, sponsorship, partnership, or affiliation unless expressly stated.

17. AI, Scanning, List, and Recipe Features

Grocery Routes may include artificial intelligence features, list scanning, receipt scanning, item recognition, natural language processing, shopping suggestions, recipe suggestions, meal planning tools, product categorization, or automated recommendations.

AI and scanning outputs may be inaccurate, incomplete, outdated, duplicated, mislabeled, or inappropriate for your situation. You are responsible for reviewing, correcting, and verifying all outputs before relying on them.

Grocery Routes does not provide medical, nutritional, dietary, allergy, financial, tax, legal, or professional advice. You should not rely on Grocery Routes to determine whether a food item is safe for allergies, medical conditions, dietary restrictions, pregnancy, medication interactions, religious restrictions, or any other health-related need. Always read product labels and consult qualified professionals where appropriate.

18. User Content

You may submit, upload, scan, enter, generate, or transmit grocery lists, receipts, feedback, store requests, zip codes, product information, notes, images, messages, prompts, ratings, or other content ("User Content").

You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, reproduce, display, analyze, modify, and use your User Content as necessary to operate, improve, secure, develop, personalize, and provide Grocery Routes, subject to our Privacy Policy and applicable law.

You represent that you have the right to submit your User Content and that your User Content does not violate the rights of any third party, applicable law, or these Terms.

We may remove or restrict User Content if we believe it violates these Terms, creates risk, is unlawful, is abusive, infringes rights, or may harm the service or other users.

19. Feedback

If you provide feedback, suggestions, ideas, bug reports, feature requests, store requests, design comments, business suggestions, or other recommendations, you grant us the unrestricted right to use, modify, commercialize, and incorporate that feedback without compensation, attribution, or obligation to you.

20. Acceptable Use

You agree not to:

  1. use Grocery Routes for unlawful, fraudulent, harmful, abusive, or deceptive purposes;
  2. interfere with or disrupt the app, servers, networks, APIs, subscriptions, receipt validation, or security systems;
  3. scrape, crawl, harvest, extract, copy, or compile data from Grocery Routes except through normal personal use;
  4. resell, redistribute, sublicense, publish, or commercially exploit Grocery Routes or its data;
  5. reverse engineer, modify, bypass, or tamper with the app, paywalls, subscriptions, entitlement systems, badges, or security features;
  6. use bots, scripts, emulators, automated tools, fake accounts, or abusive requests to access the service;
  7. submit false, misleading, infringing, unlawful, or harmful content;
  8. impersonate another person or misrepresent your identity;
  9. use Grocery Routes to compete with us, build a similar service, train a competing model, or create a commercial price database without our written permission;
  10. abuse free trials, promotions, refunds, founder tiers, badges, family sharing, or subscription systems;
  11. violate any third-party terms, retailer terms, Apple terms, or applicable law.

21. Service Availability and Changes

Grocery Routes is provided on an evolving basis. We may add, remove, suspend, modify, replace, limit, or discontinue features, stores, regions, subscriptions, AI tools, pricing data, scanning features, notifications, badges, or other functionality at any time.

We do not guarantee that Grocery Routes will be uninterrupted, error-free, secure, available, accurate, updated, or compatible with every device, operating system, store, region, or account.

We may temporarily suspend access for maintenance, updates, security, abuse prevention, legal compliance, outages, billing issues, app marketplace issues, or reasons outside our control.

22. Notifications

Grocery Routes may offer push notifications, alerts, subscription messages, savings updates, app updates, store updates, promotional messages, or account notices. You may control notification permissions through your device settings or in-app settings where available.

Transactional, security, billing, legal, or account-related messages may still be sent where permitted by law, even if promotional notifications are disabled.

23. Privacy

Your use of Grocery Routes is subject to our Privacy Policy, available through the Grocery Routes website and app. The Privacy Policy explains how we collect, use, disclose, and protect information.

By using Grocery Routes, you consent to our data practices as described in the Privacy Policy.

24. Intellectual Property

Grocery Routes, including the app, name, logos, designs, software, source code, text, graphics, icons, interfaces, workflows, algorithms, databases, features, price comparison logic, AI workflows, brand elements, and other materials, is owned by us or our licensors and is protected by intellectual property and other laws.

You may not use our name, logos, trademarks, trade dress, screenshots, app content, or branding without our prior written permission, except as allowed by law.

All third-party names, trademarks, logos, products, stores, and brands are the property of their respective owners.

25. Copyright and Intellectual Property Complaints

If you believe content in Grocery Routes infringes your intellectual property rights, contact us at groceryroutes@gmail.com with:

  1. your name and contact information;
  2. a description of the copyrighted work or intellectual property;
  3. the location of the allegedly infringing material;
  4. a statement that you have a good-faith belief the use is not authorized;
  5. a statement that the information you provide is accurate;
  6. your physical or electronic signature.

We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

26. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROCERY ROUTES IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, COMPATIBILITY, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT:

  1. GROCERY ROUTES WILL BE ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED, SECURE, OR ERROR-FREE;
  2. PRICES, SAVINGS, INVENTORY, ROUTES, STORES, PRODUCT DATA, OR AI OUTPUTS WILL BE CORRECT;
  3. ANY PARTICULAR STORE, REGION, ITEM, FEATURE, SUBSCRIPTION, OR PROMOTION WILL REMAIN AVAILABLE;
  4. THE APP WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY PARTICULAR SAVINGS;
  5. ERRORS WILL BE CORRECTED;
  6. THE APP OR SERVERS WILL BE FREE FROM VIRUSES OR HARMFUL COMPONENTS.

YOU USE GROCERY ROUTES AT YOUR OWN RISK.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RYAN FALCONE D/B/A GROCERY ROUTES, ITS CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SAVINGS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, DEVICE DAMAGE, SUBSTITUTE SERVICES, OR LOSS ARISING FROM YOUR USE OF OR INABILITY TO USE GROCERY ROUTES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR GROCERY ROUTES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO US FOR GROCERY ROUTES DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

28. Indemnification

You agree to defend, indemnify, and hold harmless Ryan Falcone d/b/a Grocery Routes, its contractors, affiliates, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  1. your use or misuse of Grocery Routes;
  2. your User Content;
  3. your violation of these Terms;
  4. your violation of applicable law;
  5. your violation of third-party rights;
  6. your misuse of subscription features, AI features, price data, retailer information, or app content.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with our defense.

29. Termination

We may suspend, restrict, or terminate your access to Grocery Routes at any time if we believe:

  1. you violated these Terms;
  2. your use creates risk or liability;
  3. your account or app profile is fraudulent, abusive, or unlawful;
  4. required payment cannot be processed;
  5. your subscription cannot be verified;
  6. we are required to do so by law, Apple, or another platform;
  7. continued access may harm us, users, third parties, or the service.

You may stop using Grocery Routes at any time. Termination does not automatically cancel an active subscription billed through Apple or another app marketplace. You must cancel through the applicable billing provider.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations.

30. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except where applicable law requires otherwise.

31. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights.

You and Grocery Routes agree to first try to resolve any dispute informally. Before filing a claim, the party raising the dispute must send written notice to the other party describing the issue and requested relief.

The parties will attempt in good faith to resolve the dispute for at least 30 days.

Except for claims that may be brought in small claims court, intellectual property claims, or claims seeking emergency injunctive relief, any dispute arising out of or relating to these Terms or Grocery Routes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, unless another arbitration provider is required by law.

You and we agree that disputes will be resolved only on an individual basis. You and we waive any right to bring or participate in a class action, class arbitration, collective action, representative action, private attorney general action, or consolidated proceeding to the maximum extent permitted by law.

If this class action waiver is found unenforceable as to a particular claim, then that claim must proceed in court and not arbitration, unless otherwise agreed.

You may opt out of this arbitration agreement within 30 days after first accepting these Terms by sending an email to groceryroutes@gmail.com with the subject line "Arbitration Opt-Out" and your name, account email if any, and statement that you opt out of arbitration. Opting out of arbitration does not affect the rest of these Terms.

32. Apple-Specific Terms

If you downloaded Grocery Routes from the Apple App Store, the following terms apply:

  1. These Terms are between you and Ryan Falcone d/b/a Grocery Routes, not Apple.
  2. Apple is not responsible for Grocery Routes or its content.
  3. We are solely responsible for providing maintenance and support for Grocery Routes, to the extent required by law or these Terms.
  4. Apple has no obligation to provide maintenance or support services for Grocery Routes.
  5. In the event of any failure of Grocery Routes to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, in accordance with Apple's policies. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Grocery Routes.
  6. We, not Apple, are responsible for addressing claims relating to Grocery Routes, including product liability claims, legal compliance claims, consumer protection claims, intellectual property claims, and claims that Grocery Routes fails to conform to applicable legal or regulatory requirements.
  7. You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
  8. You must comply with applicable third-party terms when using Grocery Routes.
  9. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.

33. Export Control and Sanctions

You may not use, export, re-export, import, or transfer Grocery Routes except as authorized by United States law, the laws of the jurisdiction where you obtained Grocery Routes, and any other applicable laws. You may not use Grocery Routes if you are barred from doing so under applicable sanctions or export control laws.

34. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be effective when posted in the app, on our website, or otherwise made available, unless a later effective date is stated.

If we make material changes, we may provide notice through the app, email, push notification, website notice, or other reasonable means. Your continued use of Grocery Routes after the updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using Grocery Routes and cancel any active subscription through the applicable billing provider.

35. Changes to the Service

We may modify, suspend, or discontinue Grocery Routes or any part of it at any time. We are not liable for any modification, suspension, or discontinuation, except where required by law.

36. Force Majeure

We are not liable for any delay, failure, outage, error, or inability to provide Grocery Routes caused by events beyond our reasonable control, including internet failures, device failures, app marketplace issues, third-party service failures, data provider outages, retailer changes, natural disasters, labor disputes, government actions, cyberattacks, power outages, or other events outside our control.

37. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, corporate transaction, restructuring, or by operation of law.

38. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, unless prohibited by law.

39. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision or any other provision later.

40. Entire Agreement

The subscription automatically renews each month unless canceled before the end of the current billing period. You can cancel anytime in your Apple Account settings under Subscriptions. Deleting the app does not cancel your subscription. No free trial is included unless expressly shown before purchase. Features, store coverage, prices, and savings estimates may vary by region and are not guaranteed. Actual grocery prices and availability may differ at checkout.
